Welcome to UAIConnector. These Terms of Service ('Terms') govern your use of our automated customer support bot service for Instagram and Facebook Messenger. By accessing or using UAIConnector, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our service.

Agreement to Terms

By using UAIConnector, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

Acceptance of Terms

By accessing and using UAIConnector, you accept and agree to be bound by the terms and provision of this agreement. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Service Description

UAIConnector provides an automated customer support bot service that integrates with Instagram and Facebook Messenger through OAuth authentication. Our service enables businesses to provide instant, AI-powered responses to customer inquiries on Meta's messaging platforms.

Platform Requirements

  • Valid Facebook Page with messaging enabled
  • Instagram Business or Creator account
  • Authorization through Meta's OAuth 2.0 flow
  • Compliance with Meta Platform Policies
  • Active internet connection for webhook processing

Service Level Tiers

  • Starter: Up to 1,000 conversations/month, 99.5% uptime SLA
  • Professional: Up to 10,000 conversations/month, 99.9% uptime SLA, priority support
  • Enterprise: Unlimited conversations, 99.95% uptime SLA, dedicated support, custom integrations

Account Registration

To use our services, you must register for an account. You agree to:

Registration Requirements

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

Account Restrictions

  • You must be at least 18 years old to use this service
  • You may not use another person's account without permission
  • You may not create accounts through automated means
  • You are responsible for all activity on your account

Acceptable Use Policy

You agree to use UAIConnector in compliance with all applicable laws and Meta Platform Policies. You specifically agree not to:

Prohibited Activities

  • Violate Meta's Platform Terms, Community Standards, or Commerce Policies
  • Use the service for spam, phishing, or fraudulent activities
  • Collect or store sensitive user data beyond conversation context
  • Circumvent Meta's rate limits or API restrictions
  • Share or transfer OAuth tokens to unauthorized parties
  • Automate actions that violate Instagram or Facebook policies
  • Process payment card information through the messaging system
  • Create misleading or deceptive bot interactions
  • Violate GDPR, CCPA, or other privacy regulations

Content Guidelines

All content created, uploaded, or transmitted through our platform must comply with applicable laws and must not contain material that is defamatory, obscene, or otherwise objectionable.

Intellectual Property Rights

The service and its original content, features, and functionality are owned by AXHE CONSULTANTS L.L.C. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain all rights to the content you create or upload to our platform. By using our service, you grant us a limited license to use, store, and process your content solely for the purpose of providing our services.

Feedback

Any feedback, suggestions, or ideas you provide about our service may be used by AXHE CONSULTANTS L.L.C. without any obligation to compensate you.

Payment Terms and Service Levels

UAIConnector offers different service tiers with corresponding features and service level agreements. By subscribing, you agree to:

Billing

  • Provide accurate and complete billing information
  • Pay all fees according to the pricing plan you select
  • Authorize us to charge your payment method for all fees
  • Be responsible for any taxes applicable to your use

Subscription Terms

  • Subscriptions automatically renew unless cancelled
  • You may cancel your subscription at any time
  • No refunds for partial months or unused services
  • We reserve the right to change pricing with 30 days notice

Service Level Agreement (SLA)

  • Uptime measured monthly excluding scheduled maintenance
  • Service credits: 10% for <99.9%, 25% for <99.5%, 50% for <99%
  • Credits applied to next billing cycle
  • Excludes downtime from Meta platform issues
  • Response time guarantee: <2 seconds for 95% of messages

Refund Policy

Annual plans: Pro-rated refund within 30 days. Monthly plans: No refunds for partial months. Service credits do not expire and are non-transferable.

Data Privacy and Security

We implement comprehensive security measures for OAuth tokens and message data. Your use of our service is governed by our Privacy Policy and Meta's data handling requirements.

Data Ownership

You retain ownership of all data you input into the system. We do not claim any ownership rights over your data.

Data Isolation

Each organization's data is isolated in separate environments with dedicated resources, ensuring complete privacy and security.

Data Processing

We process your data solely for the purpose of providing our services and in accordance with your instructions and applicable laws.

OAuth Token Security

  • Tokens encrypted with AES-256 at rest
  • Secure token refresh implementation
  • Immediate token revocation upon account termination
  • No token sharing between tenants
  • Regular security audits of OAuth implementation

Message Data Handling

  • Messages processed in real-time, not permanently stored by default
  • Conversation history retained per your configuration (30-365 days)
  • End-to-end encryption for data transmission
  • GDPR-compliant data processing and storage
  • Right to deletion upon request

Warranties and Disclaimers

THE SERVICE IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. AXHE CONSULTANTS L.L.C. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

No Warranty

We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

Service Availability

While we strive for high availability, we do not guarantee any specific uptime percentage unless explicitly stated in a separate Service Level Agreement.

Limitation of Liability

IN NO EVENT SHALL AXHE CONSULTANTS L.L.C. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Maximum Liability

Our total liability to you for any damages shall not exceed the amount paid by you to AXHE CONSULTANTS L.L.C. in the twelve (12) months prior to the event giving rise to the liability.

Indemnification

You agree to defend, indemnify, and hold harmless AXHE CONSULTANTS L.L.C. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms, Meta Platform Policies, or your use of the service.

Meta Platform Compliance

Your use of UAIConnector with Instagram and Facebook Messenger requires compliance with Meta's platform policies.

Platform Requirements

  • Maintain active, compliant Facebook and Instagram accounts
  • Adhere to Meta's Messenger Platform Policy
  • Comply with Instagram Platform Policy and Terms
  • Respect Meta's rate limits and API usage guidelines
  • Implement required data deletion callbacks

Your Responsibilities

  • Ensure your bot responses comply with Meta's content policies
  • Maintain appropriate response times to user messages
  • Provide clear bot disclosure to users
  • Handle user data according to Meta's requirements
  • Report any security incidents involving Meta platforms

Platform Changes

Meta may change their APIs or policies at any time. We will make reasonable efforts to maintain compatibility but cannot guarantee uninterrupted service during platform transitions.

Dispute Resolution

We prefer to resolve disputes amicably. If a dispute arises, you agree to the following resolution process:

Informal Resolution

First attempt to resolve any dispute by contacting our support team at axheconsultants@gmail.com. We will work in good faith to resolve your concerns within 30 days.

Arbitration Agreement

  • Binding arbitration through the American Arbitration Association
  • Arbitration conducted in San Francisco, California
  • Each party bears their own costs unless arbitrator determines otherwise
  • Class action waiver: disputes resolved individually
  • Small claims court exception for qualifying claims

Limitation Period

Any claim must be brought within one (1) year after the cause of action arises, or such claim is permanently barred.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason whatsoever.

Termination by You

You may terminate your account at any time by contacting us or through your account settings.

Effect of Termination

Upon termination, your right to use the service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

Data Retention

Upon termination, we will retain your data for 30 days to allow for data export. After this period, your data will be permanently deleted.

Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Subject to the arbitration agreement above, any legal action or proceeding shall be brought exclusively in the federal or state courts located in San Francisco, California.

Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and AXHE CONSULTANTS L.L.C. regarding the use of the service.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

The failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

Neither party shall be liable for any delay or failure due to causes beyond reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Export Compliance

You agree to comply with all applicable export and import laws and regulations, including U.S. export controls and economic sanctions.
